Duke Energy and Brookfield Partner, Expanding Capital Plan to $87 Billion

Duke Energy finalized a $6 billion deal with Brookfield, giving Brookfield a 19.7% stake in Duke Energy Florida (DEF). This partnership injects $4 billion into DEF’s $87 billion five-year capital plan to meet growing energy demand. CHARLOTTE, N.C. – Duke Energy (NYSE: DUK) announced today that it has finalized an agreement with Brookfield, in which Brookfield, through its Super-Core Infrastructure strategy, will acquire a 19.7% indirect equity interest in Duke Energy Florida (DEF) for $6 billion. Brookfield, a major player in the infrastructure investment arena, boasts over $200 billion in assets under management across utilities, transport, midstream, and data sectors.

The all-cash transaction represents an efficient financing strategy, bolstering Duke Energy’s ability to serve its expanding customer base in electric and gas utilities. The deal is also expected to strengthen the company’s balance sheet and fund ongoing capital needs.

Sources say the investment represents a compelling premium relative to Duke Energy’s existing public equity valuation. Approximately $2 billion of the proceeds will flow directly into Duke Energy’s increased $87 billion five-year capital plan, while the remaining $4 billion will be used to reduce holding company debt.

Duke Energy Florida services 2 million customers across central and western Florida. The additional $4 billion investment brings the total capital commitment in the state to over $16 billion through 2029, primarily allocated to grid modernization, resiliency initiatives, and generation enhancements to accommodate the expanding customer base.

Transaction Breakdown

Brookfield will invest in Florida Progress, the entity that owns Duke Energy Florida. The $6 billion investment will be phased in: $2.8 billion at the initial closing expected in early 2026, an additional $200 million by the end of 2026, $2 billion in 2027, and the remaining $1 billion in 2028. Brookfield retains the option to accelerate the funding.

Duke Energy will maintain an 80.3% stake and continue to operate Duke Energy Florida with its current workforce. Brookfield will receive rights proportionate to its ownership interest.

The transaction is subject to customary closing conditions, including regulatory approvals.
