  • THEMAC Announces Final Court Approval & Update on Going Private Transaction

    THEMAC Resources Group (TSXV: MAC / OTC: MACQF) secured court approval for a going-private transaction with Tulla Resources Group. Remaining shareholders will receive CAD $0.08 per share. The transaction is expected to close in late October 2025, pending customary conditions. Upon completion, THEMAC will become a wholly-owned subsidiary, and its TSXV shares will be delisted. The deal allows Tulla Resources access to THEMAC’s mineral resources and provides THEMAC with strategic flexibility.

  • THEMAC Shareholders Approve Privatization

    THEMAC Resources Group (TSXV: MACQF) shareholders approved Tulla Resources Group’s acquisition of outstanding shares at CAD $0.08 per share. 95.07% of votes favored the arrangement (56.51% after MI 61-101 exclusions). Completion, targeted for October 2025 and pending court order, is conditional on satisfying all closing conditions. Upon completion, THEMAC will be delisted from the TSXV, taking the company private. The Yukon Supreme Court will be petitioned for a Final Order.

    THEMAC Resources (MACQF) urges shareholders to vote on the proposed acquisition by Tulla Resources Group at $0.08 per share by the October 3, 2025 deadline. The Board and proxy advisor ISS recommend voting in favor of the statutory arrangement. Due to a Canada Post strike, online or telephone voting is strongly encouraged. The special meeting is scheduled for October 7, 2025, focusing on the arrangement under the Yukon Business Corporations Act.

  • Themac Resources Group Announces New Mexico State Engineer’s Decision on Santa Teresa Water Transfer

    THEMAC Resources Group’s (TSXV: MAC) application to transfer Santa Teresa water rights for the Copper Flat Mine was denied by the New Mexico State Engineer. Filed in 2019, the application sought to change the water diversion point and usage. THEMAC is now exploring alternative water management, including dry stack tailings technology. This more sustainable approach could eliminate the need for the contested water rights. The company is currently evaluating the implementation and permitting requirements for this technology.
