The offering, designed to raise roughly $200 million before expenses, involves the sale of common stock and pre-funded warrants, reflecting the company’s strategic maneuvers in the competitive landscape of CNS-focused gene therapies.
The offering structure includes 46,868,687 shares of common stock priced at $2.75 per share, with investors also given the option to purchase 25,858,586 pre-funded warrants at $2.749 each. The underwriters have also been granted a 30-day option to purchase an additional 10,909,090 shares, a move that could further boost the offering’s total value. The deal is expected to close around May 30, 2025, a critical step for Taysha as it navigates the path towards commercialization.
The company is targeting diseases of the central nervous system (CNS) with its adeno-associated virus (AAV)-based gene therapies. Taysha’s pipeline includes TSHA-102 targeting Rett syndrome, a rare neurodevelopmental disorder where there are no approved disease-modifying treatments. The team is moving to translate therapies from bench to bedside using its manufacturing process and an AAV9 capsid.
