Amazon has secured warrants to acquire up to $340 million in stock from Generac, a leading provider of backup power solutions. This strategic move, announced Wednesday, sent shares of Generac surging over 40% in extended trading, underscoring the significant value placed on this partnership.
The agreement outlines Generac’s issuance of warrants to Amazon, granting the e-commerce giant the right to purchase up to 1.69 million Generac shares at a price of $200.93 per share. This translates to a potential total investment of up to $8 billion, demonstrating Amazon’s long-term commitment to securing robust power infrastructure for its burgeoning operations.
At the core of this alliance is Generac’s commitment to supplying Amazon with backup power generators for its extensive network of data centers. The initial phase of this supply agreement is slated for significant deliveries totaling $2.4 billion across 2027 and 2028. This substantial order highlights Amazon’s proactive approach to mitigating potential disruptions and ensuring the uninterrupted operation of its critical cloud services.
Of the total warrant shares, approximately 308,000 vested immediately, with the remaining tranches contingent upon the successful fulfillment of generator payments. This tiered vesting structure incentivizes both parties and aligns their interests throughout the supply chain.
The warrants represent a notable stake in Generac, equating to nearly 3% of the company’s outstanding shares. As of Wednesday’s market close, Generac boasted a market capitalization of approximately $10.3 billion, further contextualizing the scale of Amazon’s strategic investment.
This latest agreement underscores Amazon’s aggressive expansion of its infrastructure capabilities. Just last week, the company finalized a deal with Qualcomm to leverage its custom artificial intelligence chips, also securing warrants for up to $4 billion in Qualcomm stock. These strategic investments are clearly aimed at fortifying its technological backbone.
Amazon Web Services (AWS), the undisputed leader in cloud infrastructure, is engaged in a rapid build-out of data center capacity. This expansion is a direct response to the unprecedented surge in compute demand fueled by the artificial intelligence revolution. The company’s strategic foresight is further evidenced by a significant $38 billion cloud deal with OpenAI inked last November, and the October unveiling of an $11 billion AI data center campus in Indiana designed for Anthropic.
Amazon’s strategy of acquiring warrants and taking stakes in its suppliers is a well-established practice. This approach allows the company to secure critical resources, foster innovation, and gain strategic influence within its vital supply chains. Past examples include investments in semiconductor firm Astera Labs, air cargo contractor ATSG, green hydrogen supplier Plug Power, and grocery distributor Spartan Nash. These ongoing investments signal a clear pattern of Amazon seeking to control and optimize its operational ecosystem through strategic financial and operational partnerships.
