HUNTINGTON BEACH, Calif.–(BUSINESS WIRE)–Karman Space & Defense (NYSE: KRMN), a key player in next-gen system solutions for everything from launch vehicles to hypersonic tech, has announced the pricing of its public offering: 21 million shares at $49 a pop. This isn’t Karman directly raising capital, however. Existing stockholders are putting up these shares, and they’ll pocket all the proceeds. Think of it as a facilitated exit for some early investors. The offering is slated to close July 25th, pending the usual conditions.
Here’s a kicker: Those selling stockholders are also giving the underwriters – led by Citigroup and Evercore ISI – a 30-day option to buy another 3.15 million shares. If that option is exercised, again, Karman itself *won’t* see a dime.
Citigroup and Evercore ISI are steering the ship as book-running managers, with Baird, RBC Capital Markets, and William Blair along for the ride as joint bookrunners. As always, the offering is being made through a prospectus, available from the underwriters.
The Securities and Exchange Commission greenlit the registration statement on July 23, 2025. This announcement isn’t an offer to sell (or a solicitation to buy), and it’s void where such transactions are illegal.
